Grounding Fundamentals Affiliate Program - Terms and Conditions

This document contains the Terms and Conditions between you (the "Affiliate") and Slovenian company RLI, spletna prodaja in organizacija srečanj, d.o.o [Eng: RLI, online sales and organization of meetings, d.o.o.] (the "Promoter"), governing the participation in the Grounding Fundamentals Affiliate Program (the "Program") on the www.groundingfundamentals.com (the "Website") and promoting Grounding Fundamentals course (the "Product").

Affiliate agreement
Being an Affiliate Partner, you agree to be bound by the Terms and Conditions for our Grounding Fundamentals Affiliate Program. It is your responsibility to read through this document and to make sure that you understand everything in it. We have made every effort to remove any confusing legal terms, so reading it should not be difficult.

By participating in the Program, you agree to all of the following Terms and Conditions (the "Agreement"). If you do not agree with or understand any of the languages in this Agreement, please don't sign up or participate in our promotion. It's therefore your responsibility to fully and completely understand any and all terms and conditions before becoming an Affiliate for any of our Products.
As an Affiliate, you are expected to act with honesty and abide by all laws. By participating in the Promoter's Program, the Affiliate agrees to the following Terms and Conditions.
How does the affiliate program actually work?
Our Program runs on the Systeme.io platform. You can read more about how the affiliate program works

In short, you need a special and unique affiliate link. When you use this link, every time someone buys the product through your link, you will receive a commission for the sale.
There are two ways to get your affiliate link:
1. Through the marketplace
2. You will receive it after you join our Grounding Fundamentals affiliate program
Products that are discounted or on sale are not eligible for earning affiliate commissions.
How do I know if I'm eligible?
There are three basic requirements to participate in our Program:
- Affiliates must be at least 18 years old to participate
- Affiliates must be in good standing with the Promotor
- Affiliates must abide by the terms and conditions of this Agreement
The Promoter reserves the absolute and unconditional right to accept or reject any Affiliate who signs up for the Program through the signup form.
Affiliate agrees and understands that if any of their communications related to or for this promotion (marketing, websites, blog posts, videos, audios, emails, tweets, social media posts, etc.) are deemed offensive or inappropriate, they'll be deemed from participating in all affiliate promotions at the sole discretion of the Promoter. The Affiliate in question will then be excluded from receiving any further commission, recognition, communication or compensation from the Promoter.
The Affiliate may also be immediately excluded from any and all promotions and affiliate programs (and will be in violation of this Agreement) if, at the sole discretion of the Promoter, the Affiliate's marketing:
a) contains unlawful material, including but not limited to material that may violate another's intellectual property rights or links to a website that contains such material;
b) contains information about, promotes or links to, a website that provides information about or promotes illegal activity;
c) contains material that promotes or depicts discrimination based on race, gender, religion, national origin, physical or mental disability, sexual orientation, or age, or links to a site that contains or depicts such material;
d) contains, promotes or links to sexually explicit or violent material;
e) uses the Promoter's banners, brand name, likeness, images and videos on its own websites, causing confusion in the marketplace and among consumers (which is usually referred to as copyright or trademark infringement and is illegal). In short, you may not present our banners, images or videos on your own or any other website as if they were your own, as this could lead a customer to think they are signing up to receive our communications and not yours. We firmly believe that it is in your best interest to establish your own identity, voice, brand and websites if you want to generate sales, and to authentically promote our programs in your own way - not posing as its creators;
f) for any other reason deemed inappropriate by the Promoter;
g) offers a cash incentive or discount on a product as a means of advertising;
h) runs any paid advertisement with the terms Grounding Fundamentals, one of the URLs owned by us, and/or the name of any product offering Affiliate commissions.
The Promoter reserves the right to disqualify and expel an Affiliate from the Program, cancel any pending commissions due to inappropriate behavior or marketing by the Affiliate, and modify this promotion or Agreement at any time without notice to the Affiliate.
In short, please use only ethical and honest means to promote our Product.
If you have a creative brainstorm with an idea on how to use the Grounding Fundamentals name or any of our products in a unique way to promote our products or programs, please request written permission from info@groundingfundamentals.com.
Affiliate link
The Affiliate may use ONLY its unique link provided by the Promoter on its own websites or in its emails. The Affiliate may NOT publish its link on other websites that are not owned or maintained by the Affiliate or its brand, except for advertisements or social media placements. Spamming the internet with links outside of the Affiliate's direct email list, websites or social media pages will be considered a violation of this Agreement and will result in the denial of all Affiliate benefits, prizes and commissions.
Links are intended to attract new customers to the promotion. The Affiliate may not use unsolicited commercial email, spam, search engine spam, or any other illegal or unethical means to generate referral commissions.
The Affiliate may not purchase the Product through his/her link for personal use and receive a commission for such sale.
The Affiliate may also not purchase the Product through another person's affiliate link.
All customer data collected during the Promotion shall be owned by the Promoter and it is at the sole discretion of the Promoter whether or not to share the customer data with the Affiliate.
Commission details
The Promoter will monitor sales and the system very closely to ensure everything is working correctly. Therefore, all affiliate reports indicating who made the sales are final. If the sales don't show up in our system as your sales, you will not receive credit for the sale.
To avoid such a mistake, you should clearly state in your promotional material that customers you refer to the product must use your special link to purchase it. It's crucial that when promoting to friends and your list, you make it clear that the purchase must be made through your special link.
The payout delay for the commission is 60 days.
If a sale is canceled or refunded for any reason, all commissions paid will be deducted from the amount due to the Affiliate. Affiliate commissions will not be paid based on sales or amounts due to spam, credit card fraud, or returned Product.
Commissions are not paid to or include a single sale to the Affiliate itself. In other words, the Affiliate cannot receive a commission if they buy the product themselves through their own link.
Affiliates' invoices will be automatically generated by the platform on the 10th of each month, provided that all the conditions of your program are met in advance. Commissions will be then paid by the Promoter to the Affiliate via Paypal once a month, no later than the 15th of the month.
Affiliate commissions are counted and the final numbers are deemed final at the sole discretion and decision of the Promoter. The Promoter also reserves the right to change the dates of the commission payout.
The Promoter is NOT responsible for the Affiliate's use or maintenance of Affiliate links, and only sales tracked through the Promoter's system will count towards the Affiliate's commissions. All sales and commissions are determined by the Promoter and final sales and commissions are at the sole discretion of the Promoter.
While the Promoter makes every reasonable effort to track all Affiliate sales and pay commissions accurately, the Promoter isn't responsible for and shall not be liable under any circumstances for any technical difficulties, external events, actions of other Affiliates, or other uncontrollable events that may disrupt or interfere with Promoter's ability to track sales or pay commissions.
Under no circumstances will Promoter be held liable for any incidental, indirect or consequential damages or for any loss of revenue or profits resulting from the Affiliate's participation in this Program.
Earnings disclaimer
The Promoter works hard to ensure we accurately represent our Affiliate Program and its earning potential. However, nothing on our webpage or in this Agreement is a promise or guarantee of any earnings. We cannot guarantee that you'll achieve any results or earn any money at all. This isn't a get-rich-quick program.
The Affiliate is solely responsible for their strategies, actions and results in life and business. Any forward-looking statements outlined on our websites or in our promotions are simply our hopes or projections for future potential and therefore aren't guarantees or promises of actual performance. These statements are merely our opinion.
The success of any Affiliate depends on a number of factors, such as: business savvy, marketing knowledge, commitment, network and subscriber list. Because these factors vary significantly from person to person, we cannot guarantee success, income levels, or ability to generate revenue.
We make no guarantees that you will achieve any results with our ideas, and we don't offer professional legal or financial advice.
Warning against spam and unsolicited e-mails
The Promoter has a strict zero-tolerance policy towards any Affiliate who spams parties or individuals. As an Affiliate, you agree NOT to send unsolicited emails to third parties to promote our Products. If an Affiliate is caught spamming, they will be removed entirely from the affiliate program and any commissions or pending commissions will be canceled and/or forfeited.
Spam is defined as sending emails or postings to people who haven't requested information via email or a website. This also includes "spamming search engines" with links.
Restrictions
The Affiliate may NOT use ANY copyrights, trademarks, service marks or general branding of the Promoter without full disclosure and permission of the Promoter.
The affiliate may not:
a) design the Affiliate's website to look like Promoter's website or use Promoter's branding in any way that may confuse customers or the general public as to who is operating or promoting such website;
b) take any action that could cause confusion among customers about the relationship between the Affiliate and the Promoter or about the website where functions or transactions (e.g. searching, ordering, browsing, etc.) are performed;
c) read, intercept, record, redirect, interpret or fill in the content of any electronic form or other materials submitted to Promoter by any person or entity;
d) seek to purchase or register any domains or other identifiers that contain variations of Promoter's trademarks or names to match spelling or typographical errors or that otherwise qualify as typographical errors or domain squatting, including variations thereof, for use in search engines, portals, sponsored advertising services, or other search or referral services, unless otherwise agreed to by the Promoter. The Promoter may cancel the Affiliate's participation in this Program, withhold or cancel commissions, or take any other action at its sole discretion if the Affiliate engages in any of the above behavior or fails to operate with integrity.
e) seek to purchase or register any keywords, search terms or other identifiers related to the Promoter's trademarks or the trademarks or service marks or names of the Promoter's major competitors, including misspellings or variations thereof, for use in search engines, portals, sponsored advertising services or other search or referral services, unless agreed to by the Promoter.
Relationship of Parties
Although we love our Affiliates and partners, nothing in this Agreement is to be construed as creating a partnership, joint venture, agency relationship, or employment relationship between the Promoter and the Affiliate. Under no circumstances will the Promoter be held liable for any actions or results of the Affiliate.
The Affiliate is participating in the Affiliate program as a fully independent entity and shall be responsible for all federal, state, local and/or foreign income and self-employment taxes and any other federal, state and local licenses, fees or taxes or sales taxes, including withholding taxes, social security taxes, and liability and workers' compensation insurance.
Confidentiality Agreement
The Affiliate hereby agrees not to copy, modify, share, use, reproduce, distribute or adapt any confidential information of the Promoter that hasn't been directly provided or authorized by the Promoter, or any confidential information, disclosed or otherwise, that comes into its possession under or in connection with this Agreement.
Confidential information includes, but is not limited to, the following types of private information and other proprietary information of a similar nature regarding the Promoter's business:
Sales figures, software passwords, Promoter list size, list contents, ideas, stories, activities, curriculum, event format, presentation materials, presentation content, inventions, financial information, business plans, business processes, marketing plans, marketing strategies, marketing copy, financial projections, customer lists, customer financial information, executives' personal information, sponsorship strategies, relationships with other vendors, media delivery concepts and systems, including, but not limited to, web-based delivery systems, technical data, software designs, drawings, specifications, models, source code, object code, documentation, diagrams, flowcharts, and other similar information that is proprietary to and part of the Promoter's confidential information.
The Affiliate shall not disclose the terms of this Agreement to any third party except to its employees and agents, who shall
(a) have access to such information or
(b) agree in writing to abide by the confidentiality provisions of this Agreement.
This Agreement doesn't obligately Affiliate to maintain confidentiality with respect to Promoter's confidential information that
(a) is in the public domain at the time of disclosure or
(b) becomes in the public domain after the Promotion without an unauthorized act or omission by the Affiliate;
(c) if the Affiliate can demonstrate by written documentation that it had independent knowledge of such confidential information prior to the date of disclosure; or
(d) if permission to use or disclose said confidential information is first obtained by the Affiliate in writing from Promoter; or
(e) if the Affiliate is required to disclose such confidential information by any law, regulation, rule, statute or order of any court or other governmental authority or agency.
In general, Affiliate may not disclose any financial, personal or business information about the Promoter without the Promoter's permission. Such disclosure shall be grounds for legal action, equitable relief and termination of this Agreement.
Indemnification and liability
The Affiliate agrees to indemnify and hold harmless the Promoter and its founder from and against any and all losses, claims, damages, liabilities, costs and expenses (including but not limited to reasonable attorneys' fees) which the Affiliate may be subject to or incur in connection with the Promotion to be rendered, except those claims that are judicially determined to be due to the gross negligence or willful misconduct of the Promoter.
Severability
If any provision or covenant, or part thereof, of this Agreement, should be held by any court or other legitimate tribunal with appropriate jurisdiction to be invalid, illegal or unenforceable, either in whole or in part, such invalidity, illegality or unenforceability shall not affect the validity, legality or enforceability of the remaining provisions or covenants, or any part thereof, of this Agreement, all of which shall remain in full force and effect.
